Terms of Service

By creating an account or using LabOps Lite (the “Service”), you agree to these Terms of Service. If you’re using the Service on behalf of a lab or organization, you represent that you’re authorized to accept these terms on its behalf, and “you” includes that organization. If you don’t agree, please don’t use the Service.

LabOps Lite is a lab information management platform that helps research labs manage inventory, orders, protocols, experiments, samples, tasks, scheduling, equipment, notes, and team collaboration. We may add, change, or remove features over time as we improve the product. The Service is a general productivity and organization tool — it is not a laboratory instrument, a medical device, or a regulatory compliance system.

You’re responsible for the accuracy of your account information and for keeping your login credentials secure. You’re responsible for all activity that happens under your account. Notify us promptly if you believe your account has been compromised. Each person should use their own individual account, and you must be old enough to form a binding contract in your jurisdiction to use the Service.

Paid plans are billed per lab on a recurring monthly basis through Stripe. By activating a plan, you authorize us (via Stripe) to charge your payment method on each billing cycle until you cancel.

You can cancel at any time from the billing portal; cancellation stops future charges and your plan remains active through the end of the current billing period. Except where required by law, payments already made are non-refundable. If a payment fails, access to paid features may be suspended until billing is resolved, but your data is retained and is not deleted (see “Your data & ownership” and “Data retention & deletion”). We’ll give reasonable notice of any change to subscription pricing.

You agree not to misuse the Service. In particular, you agree not to:

• attempt to breach the Service’s security or another lab’s data isolation, or access data you’re not authorized to access;
• disrupt, overload, reverse-engineer, or interfere with the Service or the infrastructure it runs on;
• upload unlawful, infringing, malicious, or harmful content, or content you don’t have the right to store;
• use the Service to violate any applicable law, regulation, or third-party right;
• resell, sublicense, or provide the Service to third parties outside your lab without our permission.

You’re responsible for the content you and your lab members put into the Service, and you represent that you have the right to store and use that content.

You are solely responsible for your lab’s compliance and for how you use the Service. LabOps Lite is a general productivity tool. It is not a validated, certified, or compliant system for any regulatory regime — including but not limited to FDA 21 CFR Part 11, HIPAA, CLIA, GLP, GMP, GDP, IACUC or animal-welfare requirements, IRB or human-subjects requirements, biosafety, controlled-substance, hazardous-materials, or export-control requirements.

You are responsible for: (a) the accuracy, quality, legality, and safe handling of everything you enter into or manage with the Service; (b) determining whether the Service is appropriate for your intended use; (c) obtaining and maintaining any licenses, approvals, and compliance your work requires; and (d) any decisions or actions you take based on information in the Service. Do not rely on the Service as your sole system of record for safety-critical, clinical, diagnostic, or otherwise regulated decisions. We do not review, verify, or validate the content you store, and we are not responsible for it.

Your lab’s content is yours. We don’t claim ownership of it, we never sell it, and we use it only to provide the Service as described in our Privacy Policy. You can export your core data at any time. You grant us the limited rights needed to host, back up, process, and display your content in order to operate the Service for you.

We will never delete your lab’s data on our own initiative, and we will never sell it. Your content stays intact and available for as long as your lab exists, including if a subscription lapses. Deletion only happens when you choose it — for example, when you delete a record, close your lab, or ask us in writing to delete your data.

When you request deletion or close your lab, we remove the affected data from our active systems within a reasonable period. Some information may persist for a limited time in routine encrypted backups before those backups cycle out, and we may retain the minimum records we’re legally required to keep (for example, payment and tax records). Because we don’t delete on our own, you remain responsible for removing content you no longer wish to store. Nothing here limits any data-deletion right you have under applicable law, such as the GDPR or CCPA — see the Privacy Policy.

LabOps Lite runs on third-party infrastructure and services — including a managed cloud database and hosting provider, application hosting, and Stripe for payments. Your use of the Service also relies on those providers, and their handling of data is governed by their own terms. We’re not responsible for outages, failures, or acts of third-party providers beyond our reasonable control.

We work to keep the Service reliable, but it’s provided on an “as available” basis. We don’t currently offer a formal uptime guarantee, and the Service may occasionally be unavailable for maintenance or for reasons outside our control. While we keep routine backups of the platform, you are responsible for keeping your own exported copies of any data that is critical to you. The Service’s export tools exist for exactly this purpose.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that any data will not be lost or corrupted, or that the results obtained from using the Service will be accurate or reliable. No advice or information you obtain from us or through the Service creates any warranty not expressly stated here.

To the maximum extent permitted by law, LabOps Lite and its operator, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, loss of profits, loss of goodwill, business interruption, or the cost of substitute services, arising out of or related to your use of (or inability to use) the Service — even if we’ve been advised of the possibility of such damages, and regardless of the legal theory.

Our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of (a) the total amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions don’t allow certain exclusions or limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest amount permitted by law. Nothing in these terms limits liability that cannot be limited under applicable law.

You agree to defend, indemnify, and hold harmless LabOps Lite, its operator, and its affiliates and suppliers from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your content or the data you store in the Service; (b) your use of the Service; (c) your violation of these terms; (d) your violation of any law, regulation, or third-party right; or (e) the acts or omissions of your lab members. We may, at our option, take over the defense of any matter subject to indemnification, and you agree to cooperate with us in doing so.

Before filing any formal claim, you agree to first contact us and try in good faith to resolve the dispute informally. Any claim arising out of or related to the Service must be brought within one (1) year after the event giving rise to it; otherwise the claim is permanently barred, to the extent permitted by law.

You may stop using the Service and close your account at any time. We may suspend or terminate access if these terms are violated, if it’s necessary to protect the Service or other users, or if required by law. On termination, you can request an export of your data as described in our Privacy Policy. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and these dispute terms — survive.

These terms are governed by the applicable laws of the jurisdiction in which LabOps Lite operates, without regard to conflict-of-law principles, and any disputes will be handled in the courts of that jurisdiction. (This section is intentionally general pending the named legal entity and jurisdiction; it should be replaced with a specific governing state or country before relying on these terms.)

We may update these terms as the product and our business evolve. When we make material changes, we’ll update the date above and, where appropriate, notify you in the app. Continuing to use the Service after changes take effect means you accept the updated terms.
